These Terms & Conditions ("Terms") govern your use of smbgindia.com (the "Platform"), operated by SMBG Trading Private Limited ("SMBG," "we," "us"). By registering for or using the Platform, you agree to these Terms. 1. Nature of This Platform SMBG is a business-to-business (B2B) wholesale portal for pet accessories. The Platform is intended for use by registered retailers and distributors ("Buyers") purchasing for resale, not individual consumers. Product pricing is visible only to approved, registered accounts. 2. Account Registration & Approval Registration requires accurate business information, including your business name and GSTIN where applicable. All new accounts are reviewed before approval. We reserve the right to approve, reject, or request additional information for any registration at our discretion. You are responsible for maintaining the confidentiality of your account credentials and for all activity under your account. We reserve the right to suspend or deactivate any account for violation of these Terms, suspected fraudulent activity, or at our discretion. 3. Quote Requests, Not Direct Purchases Adding products and submitting a request through the Platform creates a Quote Request, not a confirmed order or binding sale. A Quote Request is reviewed by our team and may be approved, rejected, or modified before it becomes a confirmed order. Prices, GST, and availability shown at the time of a Quote Request are subject to confirmation upon review and may change before approval. An approved quote reflects our commitment to fulfill the order as specified, subject to these Terms. 4. Pricing, GST & Minimum Order Quantities Displayed prices (Retailer/Distributor rates) are exclusive offers for approved account holders and may differ by account type. Some products have a Minimum Order Quantity (MOQ) or are sold only in fixed bundle multiples; these requirements are shown on the product page and enforced at the time of quote submission. GST is calculated per product according to applicable rates and displayed per our standard GST presentation (inclusive or exclusive, as shown). Promotional pricing, volume discounts, and special offers are valid only as configured at the time of your quote submission and may be withdrawn or changed at any time for future quotes. 5. Stock Availability & Backorders Product availability is shown on an as-available basis and may change between browsing and quote approval. In some cases, a quote may be approved for a quantity exceeding current stock on hand ("backorder"). We will make reasonable efforts to fulfil backordered items but do not guarantee a specific fulfilment timeline for backordered quantities. 6. Payment Payment terms are arranged directly between SMBG and the Buyer following quote approval, outside the Platform (e.g., bank transfer or other mutually agreed method). The Platform does not process or store payment information. Specific payment terms, credit arrangements, and due dates are communicated separately per order and are not governed by these Terms beyond this general provision. 7. Shipping & Delivery Delivery timelines communicated are estimates and not guaranteed delivery dates unless explicitly confirmed in writing. Risk of loss or damage in transit is governed by the shipping arrangement agreed for each order. 8. Cancellations & Returns Cancellation or return requests for an approved order should be directed to our team directly; such requests are handled on a case-by-case basis and are not subject to an automated process on the Platform. 9. Intellectual Property All content on the Platform, including product descriptions, images, and branding, is the property of SMBG or its licensors and may not be reproduced without permission. 10. Limitation of Liability To the extent permitted by law, SMBG shall not be liable for indirect, incidental, or consequential damages arising from use of the Platform, including but not limited to delays in order processing, stock unavailability, or technical disruptions to the Platform itself. 11. Changes to These Terms We may update these Terms from time to time. Continued use of the Platform after changes constitutes acceptance of the updated Terms. 12. Governing Law These Terms are governed by the laws of India, and any disputes shall be subject to the jurisdiction of the courts in Ernakulam, Kerala. 13.
